Mr. Kiggins’ corporate and tax practice is international in scope and has involved clients in such diverse countries as Argentina, Brazil, Cyprus, England, Israel, and South Africa.

Robert J. Kiggins is the Chair of our Taxation group, and a member of our Corporate & General Practice Group. After over 40  years of practice, he has gained extensive experience in corporate finance and tax matters involving securities broker-dealers, investment advisors, investment companies, life insurance companies, hedge funds, medical practice purchases and sales, insurance agencies and bank expansion into insurance and securities fields. Mr. Kiggins has also represented a number of closely held businesses in such industries as medicine, dentistry, hospitality, direct mail monitoring and list protection, computer software, insurance agency, securities brokerage, residential real estate, and investment management. He is especially familiar with the regulations and compliance imposed on securities broker-dealers, investment advisors, insurance companies and insurance agencies.

Mr. Kiggins is a frequent speaker on tax topics both here and abroad. In addition to his contributions to this firm’s News Blog, he regularly authors and publishes articles on the Internet and for appearance in such publications as Tax Law 360.

He is fluent in English, Spanish and written Portuguese and has served a number of Hispano-American business clients. He has also been a member of the Japan Society, where he has studied intermediate level Japanese.

Bob is also the Chairperson of the North American Branch with the International Business Structuring Association headquartered in London, England.

Representative Experience

  • Corporate Law: Bob’s services in this area include the following: business formations of startup companies and dispositions, contracts and negotiations, securities (private placements), mergers and acquisitions and industry regulatory compliance. His representative clients have  included small to mid-sized capitalization businesses based in the USA, Cyprus, England, and the Republic of South Africa.
  • Mergers and Acquisitions: Bob drafts and negotiates requisite documents, assists with regulatory approvals and gives structural and tax advice.
  • Securities Placements: Bob can help a business raise capital through a variety of means, including private securities placements.
  • Securities Practice: Bob has represented a number of hedge fund, broker-dealer and investment adviser clients. The emphasis of the practice is on both transactional and compliance work. His private placement experience includes diverse ventures, such as life settlements, private investment limited partnerships and residential real estate projects. Bob has represented clients in regulatory matters involving the SEC, NASD, NYSE and state securities regulators.
  • Tax Law: Bob advises clients on taxes in a number of business tax areas including corporate, trusts and estates and partnerships. Many of these enterprises are engaged in cross border transactions.
  • Transactional Tax Planning: Bob can provide assistance to persons buying or selling businesses as to how to structure the transaction for maximum tax efficiencies and benefits.
  • Structural Tax Planning: Bob can help a business to form and maintain the right type of business entity or group of entities (such as a consolidated corporate group) for maximum tax efficiencies.

Due Diligence Review for South African Financial Institution’s Acquisition of US Import Finance Company

  • The acquisition of a US-based company by a foreign company requires skills in multiple practice areas.  Mr. Kiggins performed legal due diligence for a South African financial institution on its acquisition of a control position in a US export lending company. As part of his work, he prepared a report thereon for submission to the client and the South African Reserve Bank (“SARB”). The report included an extensive generic and transactional legal analysis of the acquisition candidate company’s export lending transactions involving the US Export Import Bank insurance or guarantees and PEFCO financing on loans ranging from USD 460,000 to USD 301,000,000. The report also analyzed taxation issues, organizational issues, operational issues, litigation, employee matters and insurance issues.

Representation of Foreign Investors in New York Theatrical Release

  • Inbound investments into the United States from abroad can be subject to unduly high taxes, both in the country of origin and in the United States. With proper planning and structuring, our Corporate and Tax lawyers can help in minimizing such taxes. Here, Mr. Kiggins represented a group of foreign investors who invested in a Tony Award winning “Best Play” Broadway show. He recommended forming a corporate ownership structure for the investors that was designed to limit their taxes both in the U.S. and the country of origin (the United Kingdom). Later on, the US Company invested in a second theatrical release, which opened on Broadway to rave reviews in April 2012.

Documentation & Structuring of Restaurant Chain Private Placement

  • Corporate lawyers know that well drawn and often highly customized legal documents are a key to a successful business expansion that meets the goals of the business owners. Carefully defining the rights of insiders and outside investors is of paramount importance. Mr. Kiggins acted as legal counsel in a U.S. private placement of Class A and Class B Holding Company Units for a prominent USA Restaurant Management Group. In this placement, Bob helped design the capital structure, form and design the management company, an intellectual property company and other operating companies.
