David J. Leffler has guided small business with relevant and timely legal advice for over 30 years. He understands that a single transaction for a smaller business often can be a major factor in its success and is mindful always of his clients’ long-range goals, working to negotiate each and every term of a transaction to support those goals.
Since 2014, Mr. Leffler has been rated by Super Lawyer Magazine (a Thomson Reuters publication) in corporate, intellectual property and real estate law.
Mr. Leffler represents companies in the role of outside general counsel, drafting entity formation documents, shareholder agreements, and operating agreements, reviewing and revising customer documents to provide better client protection and clarity, and providing representation in mergers and acquisitions. He also represents startups in financing and other business growth strategies.
Mr. Leffler has extensive experience in representing tenants in commercial lease review and negotiation, rooting out unfavorable terms that will cost the client money and unreasonably expose the client to significant potential liability. He also represents clients in commercial real estate acquisitions and sales, including real estate acquisition financing for both buildings and commercial condominium units.
Mr. Leffler has expertise working with licensed professionals’ business operations, web-based businesses, and an event management company that promotes networking for women-owned businesses.
Mr. Leffler has volunteered and served on advisory boards for numerous organizations, and on the board of directors of the not-for-profit American Woman’s Economic Development Corporation that provided training for women starting and growing their own businesses. He also served as a judge for the New York StartUP! Business Plan Competition, held at the Science, Industry and Business Library of the New York Public Library and sponsored by Citi Foundation, from 2010 to 2015.
